Terms Of Service
INTRODUCTION
These Terms of Service ("Agreement") are a legally binding agreement between the user or subscriber of the Services ("User" or "you") and KEYWORD CUPID LLC.,
a Delaware corporation with its principal place of business at 42 Read's Way, New Castle, DE 19720, USA ("Keyword Cupid", "KC", "we" or "us").
By registering for the Services or by accessing or using the Services or Website, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case
the terms “User”, “you” or “your” shall refer to such entity.
If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not use the Services.
You acknowledge that this Agreement is a contract between you and KC, even though it is electronic and is not physically signed by you, and it governs your use of the Services.
By using the services you are indicating that you have read and agree to these tos and KC's privacy policy ("privacy policy") and,
if applicable, keyword cupid’s end user license agreements ("EULA"), and any other related terms and conditions located on Keyword Cupid’s website,
all of which are incorporated herein by this reference.
If you do not agree to these tos, do not use the services.
In the event any of the terms of these tos conflict with the privacy policy or applicable eula, the terms of the applicable eula or privacy policy shall govern as to the conflicting terms.

We reserve the right to review and amend any of these Terms of Service at our sole discretion.
Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.
SUBSCRIPTION
If you elect to sign-up for a particular feature of the Site, such as our clustering tool, you may also be asked to register with us on the form provided and such registration may require you to provide personally identifiable information such as your name and email address.
You agree to provide true, accurate, current and complete information about yourself as prompted by the Site’s registration form. If we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).
Our use of any personally identifiable information you provide to us as part of the registration process is governed by the terms of our Privacy Policy.
You may become a registrant of the Service at no cost. As a registrant, you will have the ability to participate in some, but not all, of the features and tools available within the Service.
In order to access additional features, including the ability to use many of our tools, you must become a subscriber to the Service.
Depending on the subscription plan you select, you will be entitled to varying number of features and/or different limits.
Stripe is a trusted reseller of Keyword Cupid subscriptions and manages all payments that flow through our system.
We do not store any payment information such as credit card information, in our servers. All payment information as well as personal/company information is solely managed and maintained by Stripe.
REFUNDS
You may not, under no circumstances, demand a refund for past subscriptions that you forgot to cancel. You may cancel your subscription by clicking on the "Cancel Subscription" button at your
Subscription panel or canceling through Stripe or by sending a written request sent to contact@keywordcupid.com.
If you want to cancel your current subscription and require a refund, you may only request a refund for only the remaining subscription credits you have not used in the current billing cycle.
ACCOUNT, PASSWORD AND SECURITY
As part of your use of the Service, you may receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining
the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account.
You agree to: (a) immediately notify Keyword Cupid of any unauthorized use of your password or account or any other breach of security, and
(b) ensure that you exit from your account at the end of each session.
Keyword Cupid cannot and will not be liable for any loss or damage arising from your failure to properly safeguard your account or password.
You have sole responsibility for adequate protection and backup of Content of any type that you upload to, download from or otherwise create or use with, the Service,
and/or equipment you use in connection with the Service.
LIMITATIONS OF LIABILITY
Under no circumstances, including, but not limited to, negligence, shall we, our subsidiary and parent companies or affiliates
be liable for any direct, indirect, incidental, special or consequential damages that result from the use of, or the inability to use, the site,
including our messaging, blogs, comments of others, books, emails, products, or services, or third-party materials, products, or services made available through the site or by us in any way,
even if we are advised beforehand of the possibility of such damages
(because some states do not allow the exclusion or limitation of certain categories of damages, the above limitation may not apply to you. In such states, our liability and the
liability of our subsidiary and parent companies or affiliates is limited to the fullest extent permitted by such state law.)
You specifically acknowledge and agree that we are not liable for any defamatory, offensive or illegal conduct of any user.
Suppose you are dissatisfied with the site, any materials, products, or services on the site or any of the site’s terms and conditions.
In that case, your sole and exclusive remedy is to discontinue using the site and the products, services and/or materials company is not an investment advisory service,
is not an investment adviser, and does not provide personalized financial advice or act as a financial advisor.
By using this website/service, you warrant on behalf of yourself, your users, and other parties you represent that you agree to the following:
No Resale or Redistribution of Service
You are permitted to use the Service internally within the company for the purpose of obtaining insights and analysis to optimize your website(s) and related campaigns.
Except as expressly authorized by Keyword Cupid, you agree not to reproduce, duplicate, copy, sell, trade, resell, permit access, modify, create derivative works,
or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service or computer code that powers the Service.
You are responsible for all use made of the Service using your account. You are responsible for maintaining the confidentiality of your online account credentials.
Attribution
You acknowledge that all Keyword Cupud proprietary results obtained through the Service remains the intellectual property of Keyword Cupid, and agree to attribute metrics such as, but not limited to clustering information, on-page statistics and metrics, machine-generated content and content briefs in any publication or distribution of said proprietary metrics.
Modifications to Service
We are constantly changing and improving our Service. We may add or remove functionalities or features, and we may suspend or stop the Service altogether.
You can stop using our Service at any time, although we'll be sorry to see you go.
Keyword Cupid may also stop providing the Service to you, or add or create new limits to our Service at any time.
You agree that KC shall not be liable, to you or to any third party, for any modification, suspension or discontinuance of the Service.
Accuracy of Materials
We exist for educational purposes only, and the materials and information contained herein and in our products and services are for general informational purposes only.
None of the information provided by us is intended as investment, tax, accounting or legal advice, as an offer or solicitation of an offer to buy or sell, or as an endorsement,
recommendation or sponsorship of any company, security, or fund. Our information should not be relied upon for purposes of transacting in securities or other investments.
The materials appearing on our website are not comprehensive and are for general information purposes only. We do not warrant or make any representations concerning the accuracy,
likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.
The accuracy of the clustering output depends on many factors, such as your input data, your choice of location, changes to the SERPs (Search engine result pages).
We cannot always guarantee 100% accuracy of the output.

The Service may provide links to other World Wide Web sites or resources. Since KC has no control over such sites or resources, you acknowledge and agree that Keyword Cupid is
not responsible for the availability of such external sites or resources, does not endorse said sites/resources, and is not responsible, nor liable for any content, advertising,
or other materials on or available from such sites or resources.
You further acknowledge and agree that KC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or related in any
way to use of or reliance on any such content, goods or services available on or through any such site or resource.
Service and Marketing Messages
By registering an account at Keyword Cupid or by enrolling to our subscriber program you're giving us your permission to send email notifications to
the email address that you have specified upon registration.
These email notifications may include: updates to KC's toolset, tips and tutorials on using Keyword Cupid tools, and system messages.
You're also given an option to subscribe to promotional offers, which is not obligatory for completing the registration process.
Please be advised that you can opt-out from any of these optional emails any time by using the "Unsubscribe" link that is included at the bottom of each email that we send you.
We may send messages or emails via our own mailing service or via a third party service like MailChimp, Sendgrid or Intercom.io.
REFUND POLICY
Unless required by law, Keyword Cupid is not obligated to provide you a refund at any time.
Any amount paid (or its equivalent in your local currency) for a trial subscription is strictly non-refundable.
For your monthly subscription, you may request for a refund after payment has been made for non-use, but please be advised that we reserve the right to decline your refund
request should we see any material activity in your account.
You may cancel your account at any point through our portal. Please note that if you send us a refund request through email we will only be able to process it if it is within
30 days of signing up for our services.
SERVICE CANCELLATION
KC reserves the right of unilateral service cancellation under the following circumstances:
- We detect unusual usage patterns in relation to the Service
- You attempt to modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website.
- You remove any copyright or other proprietary notations from any materials and software on this website.
- You attempt to inflict damage or harm our reputation, work or Service; In response to requests from law enforcement or other public agencies.
- You attempt to use this website in conjunction with sending unauthorised advertising or spam.
- You attempt to harvest, collect or gather user data without the user’s consent.
DATA COLLECTION & USE
You understand and agree that KC may anonymize and aggregate any data you share with the Service, including data associated with your Google Analytics and Google Search Console accounts,
and use it without identifying you for purposes of improving the Service.
We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site.
Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site.
You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
The intellectual property in the materials contained in this website are owned by or licensed to Keyword Cupid and are protected by applicable copyright and trademark law.
We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.
AMENDMENTS
This TOS is subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an e-mail to the last e-mail address you provided to us (if any) and/or by prominently posting notice of the changes on our site. Any changes to this TOS will be effective no later than thirty (30) calendar days following our posting of notice of the changes on our Site. Continued use of our Service following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
OBJECTING TO CONTENT
If you believe that any Content provided through the Service infringes your copyright or otherwise violates the Keyword Cupid Data Policy, you may notify KC at contact@keywordcupid.com.
